Private equity - Fund structuring
Our private equity funds team supports promoters wishing to establish a Luxembourg private equity fund in finding the appropriate investment vehicle to meet their requirements and goals from a marketing, regulatory and legal perspective.
We advise on the whole spectrum of Luxembourg investment vehicles and fund regimes such as but not limited to reserved alternative investment funds (RAIF), specialised investment funds (SIF), unregulated common limited partnerships (SCS) and special limited partnerships (SCSp) with an authorised AIFM or a registered AIFM. We can also evaluate the structuring of the investment vehicle as an EuVECA.
Our team furthermore:
- Supports clients in finding appropriate investment vehicles to meet their requirements and goals from a marketing, regulatory and legal perspective.
- Introduces clients to service providers that meet their requirements, including custodian banks, AIFMs, fund administrators, registrar and transfer agents and auditors.
- Assists with the drafting of all the fund documentation, the review of the service provider agreements (including bridge financing agreements), the incorporation of the general partner, the fund, carried interest vehicles, co-investment vehicles and SPVs, as well as the drafting of the financing documents.
- Assists with the regulatory filing with the CSSF.
- Advises on AIFMD-related issues.
- Provides legal and corporate support services throughout the private equity fund’s lifetime, including amendment of fund documents, restructuring and launching or closure of sub-funds.
