Our private debt funds team supports promoters seeking to establish a Luxembourg private debt fund in finding the appropriate investment vehicle to meet their requirements and goals from a marketing, regulatory and legal perspective.

We advise on the full spectrum of Luxembourg investment vehicles and fund regimes including specialised investment funds (SIF), reserved alternative investment funds (RAIF), alternative investment funds with an authorised AIFM, and unregulated common limited partnerships (SCS) and special limited partnerships (SCSp). We can also evaluate the structuring of the investment vehicle as a European Long-Term Investment Fund (ELTIF).

Our team also:

  • Assists clients with drafting of fund documentation, review of service provider agreements, regulatory filing with the CSSF, if necessary, and incorporation of the general partner and the fund.
  • Introduces clients to service providers that meet their requirements, including custodian banks, AIFMs, fund administrators, registrars and transfer agents, and auditors.
  • Provides corporate support services throughout the private fund’s life cycle, including amendment of fund documents, restructuring, and launch or closure of sub-funds.
  • Advises on AIFMD-related issues.
