The law of 30 June 2021 (the “Law“) has extended the possibility for Luxembourg-based companies to hold virtual meetings of the board of directors and shareholders until 31 December 2021.

Indeed, the Luxembourg Chamber of Deputies adopted, by its session of 29 June 2021, a bill amending:

  1. The amended law of 23 September 2020 on measures concerning the holding of meetings in companies and other legal persons. The “30 June” date in article 5 of this law is replaced by “31 December”.
  2. The law of 19 December 2020 on the temporary adaptation of certain procedural rules in civil and commercial matters. The words “30 June” shall be replaced by the words “31 December”.

The Chamber of Deputies decides to exempt this bill from a second constitutional vote.

The Council of State was called upon by the President of the Chamber of Deputies on 29 June 2021 to deliberate on the question of exemption from the second constitutional vote.

The Council of State agreed with the Chamber of Deputies to exempt the bill from the second vote provided by article 59 of the Constitution.

This Law enters into force on the day of its publication in the Official Journal of the Grand Duchy of Luxembourg, i.e. on 30 June 2021.
